Lawji Law is a business formation attorney in The Woodlands and Sugar Land, helping entrepreneurs, investors and business owners across Montgomery County, Fort Bend County and the Houston area.

The right structure depends on your goals, your business and its ownership. We explain the differences between entities and prepare the documents your choice requires.

LLC Formation

Establishing a Limited Liability Company in Texas

An LLC combines features of corporations and partnerships and may offer members liability protection, subject to the law and the facts. Its management can be arranged to suit the business.

We prepare formation documents and explain the roles of members and managers, ownership arrangements and decision-making authority, for single-owner and multi-member companies alike.

Note: In Texas, an LLC is generally formed by filing a certificate of formation with the Texas Secretary of State.

Corporation and Nonprofit Formation

Corporations and Nonprofit Corporations

A corporation is a separate legal entity governed by rules on directors, officers, ownership and governance, and is formed by filing a certificate of formation. We prepare formation documents and later amendments.

We also form nonprofit corporations. Federal tax exemption is a separate IRS process that our formation service does not include.

Note: Forming a nonprofit under Texas law does not automatically establish federal tax exempt status.

Partnership and Professional Entities

Structures for Partners and Licensed Professionals

We prepare documents for limited partnerships (at least one general and one limited partner), professional associations for qualifying licensed professionals, and professional limited liability partnerships, along with their filing requirements.

Note: With multiple owners, a written agreement should define ownership interests, management authority, financial responsibilities and how decisions are made.

Assumed Name Filings and Amendments

Keep Your Business Registration Accurate

Operating under a name other than your legal name requires an assumed name (DBA) certificate. Texas LLCs and corporations generally file with the Secretary of State; sole proprietors file with the county clerk.

We handle Secretary of State assumed name filings and amendments when formation information changes.

Note: An assumed name filing does not, by itself, establish trademark rights or exclusive use of a business name.
